General Terms and Conditions for License Purchases via Stripe (v1.1)
1. Scope and Eligibility
These Terms apply to purchases of film licenses from Krutart s.r.o. through the Stripe Checkout system available on https://krutartfulldome.com.
They are intended specifically for small and portable planetariums or venues with fewer than 40 seats and up to 5,000 visitors per year (“Eligible Planetariums”).
By completing the payment, the Client confirms that they meet these eligibility criteria and agree to be bound by these Terms.

(hereinafter “Krutart”)
and
the buyer (hereinafter the “Client”),
who purchases a film license via the Stripe Checkout system integrated on the website https://krutartfulldome.com.
By completing the payment, the Client confirms that they have read and agree to these Terms, which together form a binding License Agreement between the Parties.
3. Subject of the License
Krutart is a professional producer of fulldome films and other audiovisual works.
Upon purchase through Stripe Checkout, the Client acquires a non-exclusive, time-limited license to use the selected film (the “Film”) under the following conditions:
Purpose of use: public screenings of the Film in a fulldome projection system;
Licensed venue: one single physical venue specified by the Client in the Stripe Checkout form (“Planetarium/Venue Name”).
The license applies exclusively to the named venue and its dome installation; it cannot be transferred to other locations, branches, or partner facilities.
Scope: unlimited number of screenings;
Exclusivity: non-exclusive; Krutart may license the Film to other clients;
Duration: 10 years from the date the Film is made available to the Client;
Territory: limited to the location of the specified venue.
4. Delivery of Materials
After the payment is successfully completed, Krutart will make the Film available to the Client via a Google Drive download link.
Delivery will occur within 14 days of payment, in the following technical formats:
Video: 2K or 4K, H.264 encoding, domemaster format
Audio: 5.1 mix (ME version available)
Runtime: approx. 25 minutes
Language: English
The Client will also receive a set of promotional materials (poster, trailer, description) for the purpose of announcing screenings.
5. License Fee and Payment
The license fee is stated during checkout and is exclusive of VAT.
Payment through Stripe Checkout constitutes full payment of the license fee.
A tax invoice is automatically generated and sent to the Client upon completion of payment.
No additional handling or delivery fees apply unless explicitly stated before purchase.
6. License Restrictions
The Client may use the Film only within the licensed venue.
The Client is not entitled to reproduce, distribute, rent, or make the Film available online.
The Client may not alter, edit, or modify the Film in any way without Krutart’s written consent.
The Client may not grant sublicenses or transfer the license to any third party.
Upon expiration of the 10-year license period, the Client shall immediately delete all copies of the Film and related materials and cease all use of the Film.
If requested, the Client shall confirm in writing that these obligations have been fulfilled.
Failure to do so entitles Krutart to charge a contractual penalty equal to the license fee originally paid.
7. Data Protection and GDPR Compliance
Krutart processes personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Czech and EU legislation.
Payment transactions are securely processed through Stripe, Inc., a third-party payment processor certified for PCI-DSS compliance.
Stripe may transfer limited payment data outside the EU, protected under Standard Contractual Clauses (SCCs) or equivalent safeguards to ensure GDPR-level protection.

8. Copyright Notice and Promotion
The Client must include a credit line in all promotional materials for screenings, for example:

The Client may use up to two minutes of Film footage for promotional purposes directly related to the licensed screenings.
9. Warranties and Liability
Krutart warrants that it holds the rights necessary to grant this license.
The Client acknowledges that the Film and accompanying materials are provided “as is”.
Krutart shall not be liable for any indirect, consequential, or incidental damages resulting from the Client’s use of the Film.
10. Termination
Krutart may terminate the license with immediate effect if the Client breaches these Terms, in particular by:
failing to pay, or
using the Film beyond the agreed scope or after expiration.
In such a case, no refund shall be due.
11. Governing Law and Jurisdiction
These Terms and the License Agreement are governed by the laws of the Czech Republic.
Any disputes arising from or in connection with this Agreement shall be resolved by the competent courts of the Czech Republic, with territorial jurisdiction determined by the registered office of Krutart.

13. Final Provisions
The Client acknowledges that completing the payment via Stripe Checkout constitutes full acceptance of these Terms.
The Agreement and all related documents are concluded in English.
Krutart may update these Terms from time to time; the version valid at the time of purchase applies to each transaction.
These Terms take effect as of October 2025.
By completing the payment, the Client confirms acceptance of these General Terms and Conditions and acknowledges the creation of a binding License Agreement with Krutart s.r.o.
